End User License Agreement
Product: Build Perch (“the Software”)
Provider: Hollwick Technologies Inc. (“Hollwick”, “we”, “us”), a corporation incorporated in Canada and based in Ontario
Effective date: July 12, 2026
1. Agreement to terms
By installing, copying, or using the Software you agree to this End User License Agreement (“Agreement”). If you do not agree, do not install or use the Software, and you may request a refund under the Refund Policy. If you accept on behalf of an organization, you represent that you are authorized to bind it.
This Agreement incorporates by reference the Privacy Policy, the Refund Policy, and the AI & Synthetic Content Notice.
2. License grant
Subject to your compliance with this Agreement and payment of applicable fees, Hollwick grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for your internal personal or business purposes.
License types (per your purchase):
- Perpetual license — a one-time purchase grants a perpetual license to the version purchased, together with all updates released within twelve (12) months of your purchase. Updates released after that period, and new major versions, may require a paid upgrade.
- Subscription license — monthly or annual; valid only while the subscription is active and fees are current, and includes updates released during the active term.
- Free trial — a 14-day evaluation. The Software may limit or disable features when the trial expires until a license is activated.
3. License restrictions
You will not, and will not permit others to:
- (a) resell, rent, lease, sublicense, distribute, or host the Software as a service to third parties;
- (b) reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law;
- (c) remove or alter proprietary notices, or circumvent license enforcement, trial limits, or activation;
- (d) use the Software to develop a competing product; or
- (e) use the Software in violation of any applicable law or the terms of any third-party service you connect to it (Section 5).
4. Ownership
The Software is licensed, not sold. Hollwick and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. “Build Perch” and associated marks are trademarks of Hollwick. Third-party components are licensed under their own terms; the applicable open-source license notices are provided with the Software.
5. Third-party services, models, and your credentials
The Software is local-first and acts as a conduit to third-party services that you choose and authenticate with your own credentials (collectively, “Third-Party Services”), including:
- AI model providers — OpenRouter (which fronts upstream models from OpenAI, Anthropic, Google, and others), Ollama (local), and Ollama Cloud;
- Integrations — such as GitHub, Notion, Discord, and email (IMAP/SMTP);
- Search and utility services — such as DuckDuckGo, Brave, Openverse, Wikipedia, and IP-based geolocation (consent-gated).
You are solely responsible for: (a) your accounts, API keys, and credentials; (b) all charges those providers bill you (for example, OpenRouter token costs — Hollwick does not resell model access and does not bill you for model usage); and (c) your compliance with each provider’s terms, as set out below.
Compliance with third-party terms. Your access to and use of any Third-Party Service through the Software is governed solely by the agreement between you and that service’s provider, including its terms of service, acceptable-use policies, developer and API terms, and usage restrictions, and you covenant to comply with them at all times. A breach of a provider’s terms in connection with your use of the Software is also a breach of this Agreement (Section 3(e)). You bear sole responsibility and liability for the consequences of any such breach — including suspension or termination of your account by the provider — and your indemnification obligations under Section 12 apply.
No warranty of availability, continuity, or compatibility. Third-Party Services are operated by entities that Hollwick does not own, control, or supervise. To the maximum extent permitted by applicable law, Hollwick makes no representation or warranty as to, and expressly disclaims all liability arising out of or relating to: (i) the availability, uptime, continuity, performance, security, content, or pricing of any Third-Party Service; and (ii) any modification, suspension, deprecation, rate limiting, or discontinuance of a Third-Party Service or of its APIs, endpoints, protocols, authentication mechanisms, or terms, in each case whether or not notice is given. Features of the Software that depend on a Third-Party Service may degrade or become inoperative as a result of such changes or interruptions; such degradation or inoperability does not constitute a defect in the Software or a breach of this Agreement, and does not entitle you to any remedy from Hollwick except as required by applicable consumer law or as expressly provided in the Refund Policy. No provider of a Third-Party Service is a party to this Agreement, and nothing in the Software constitutes an endorsement of, or an agency, partnership, or affiliation with, any such provider.
6. AI-generated output
The Software uses third-party AI models to generate text, images, audio, video, code, and document output. AI output can be inaccurate, incomplete, biased, or offensive, and may infringe third-party rights. You are responsible for reviewing and verifying all output before relying on, publishing, or distributing it. Hollwick makes no warranty as to the accuracy, fitness, originality, or legality of AI output, which is generated by third-party models. See the AI & Synthetic Content Notice for your transparency and synthetic-content marking obligations.
7. Agentic and automated features — your responsibility
The Software can read, create, modify, move, and delete files in workspace folders you select, and — when you configure integrations, agents, workflows, or local web serving — can act on your accounts and send content to destinations you authorize (for example, send email, post to Discord, write to a repository, or serve files on your local network).
You direct and are responsible for these actions and their consequences, including any data exposure, deletion, financial cost, or third-party effect. You are responsible for maintaining backups. Enable automated or agentic features only with an understanding of what they can do. Hollwick is not liable for outcomes of actions you configure the Software to take.
8. Updates
Hollwick may provide updates, which are governed by this Agreement unless accompanied by separate terms. Updates may add, change, or remove features. You are responsible for installing security updates. Where your license type includes a defined update window (Section 2), updates beyond it may require payment.
9. License keys, activation, and trials
A license key or activation may be required. A purchased license may be activated on up to three (3) devices (machines) you own or control; this is a per-device limit, not a per-user limit, and you may deactivate a device to free an activation for another. You will not share, publish, or circumvent license keys or trial limits. Payment is handled by our payment processor and Merchant of Record (Section 13); license keys are issued and activations are managed through our licensing service, Keygen (see the Privacy Policy for what it processes). We may suspend or revoke a license obtained through fraud, chargeback, or breach of this Agreement.
10. Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. HOLLWICK DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. HOLLWICK FURTHER DOES NOT WARRANT THE CONTINUED AVAILABILITY, COMPATIBILITY, OR OPERATION OF ANY THIRD-PARTY SERVICE (SECTION 5) ACCESSED THROUGH THE SOFTWARE, OR OF THE FEATURES THAT DEPEND ON ONE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; ANY STATUTORY RIGHTS YOU HAVE AS A CONSUMER ARE NOT EXCLUDED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLLWICK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY.
HOLLWICK’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (b) CAD $100.
This allocation of risk reflects the price of the Software. Some jurisdictions do not allow certain limitations; in those, liability is limited to the smallest extent permitted.
12. Indemnification
You will indemnify and hold Hollwick harmless from claims arising out of (a) your misuse of the Software, (b) your violation of this Agreement or any third-party service’s terms, (c) content you process, generate, or distribute using the Software, and (d) actions you configure the Software to take on your accounts or files.
13. Payment, taxes, and Merchant of Record
Purchases are processed by our payment processor and Merchant of Record, Stripe (through its Managed Payments service), which is the seller of record and collects and remits applicable taxes (such as VAT, GST/HST, and sales tax). Your purchase may be presented at checkout as “Sold through Link,” Stripe’s consumer checkout. Stripe’s buyer terms and privacy policy also apply to the transaction (https://link.com/terms, https://stripe.com/privacy). Hollwick may engage a different payment processor or Merchant of Record from time to time; the entity identified to you at checkout and on your receipt is the seller of record for that purchase, and this Section applies to it equally. Fees are stated at purchase. Refunds are governed by the Refund Policy.
14. Term and termination
This Agreement is effective until terminated. It terminates automatically if you breach it. On termination you must stop using and uninstall the Software. Sections 4, 6, 7, 10, 11, 12, 15, and 16 survive termination. Subscription licenses end according to their billing term.
15. Governing law and disputes
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules, and the courts located in Ontario, Canada have exclusive jurisdiction, subject to any non-waivable rights of consumers in their place of residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. General
- Entire agreement — this Agreement, together with the documents it incorporates, is the entire agreement and supersedes prior understandings.
- Severability — if a provision is unenforceable, the rest remains in effect.
- No waiver — failure to enforce a provision is not a waiver.
- Assignment — you may not assign this Agreement without our consent; we may assign it in connection with a merger, acquisition, or sale.
- Export — you will comply with applicable export and sanctions laws.
- Changes — we may update this Agreement; material changes will be notified, and continued use after the effective date constitutes acceptance.
